REVISED TERMS OF SERVICE & SUBSCRIPTION PICK PACKAGE AGREEMENT

PLEASE READ THIS SUBSCRIPTION PICK PACKAGE AGREEMENT (THE "AGREEMENT" OR "TERMS") CAREFULLY. THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECTS YOUR LEGAL RIGHTS REGARDING HOW DISPUTES ARE RESOLVED.

BY PURCHASING THE 3-PICK SHARP EDGE PACKAGE, ACCESSING THE DAILY ANALYTICS, OR UTILIZING ANY INFORMATIONAL MATERIAL PROVIDED BY SHARP EDGE SPORTS LLC, YOU EXPRESSLY AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU ARE NOT AUTHORIZED TO PURCHASE, ACCESS, OR USE ANY PACKAGES OR SERVICES OFFERED BY SHARP EDGE SPORTS LLC.

SECTION 1 - PURPOSE OF SERVICE & NO-GAMBLING AMBIT

1.1 Informational and Entertainment Purposes Only
Sharp Edge Sports LLC (hereafter referred to as the "Company", "We", "Us", or "Our") is a sports analytics, data compilation, and handicapping information provider. The Company compiles sports data, quantitative statistics, historical trends, algorithmically generated selections, and informational insights (collectively, the "Services", "Pick Packages", or "Picks").

You explicitly acknowledge and agree that all content, picks, projections, analysis, and recommendations provided by the Company are for informational, educational, and entertainment purposes only.

1.2 Not a Gambling Platform
The Company is not a sportsbook, bookmaker, gambling operator, or sports betting site. We do not accept, place, or facilitate wagers or bets of any kind. No processing of gambling stakes, wagers, or payouts occurs on or within our digital infrastructure. The Company is an independent information publisher.

1.3 No Financial, Legal, or Investment Advice
Sports analytics and historical patterns do not equate to guaranteed legal or financial assets. The Company does not offer investment advice, financial planning, or professional legal guidance. Any financial decisions or sports bets made by you based on data accessed through our platform are executed solely at your own risk and financial discretion.

SECTION 2 - ELIGIBILITY, AGE REQUIREMENT, AND REGULATORY COMPLIANCE

2.1 Minimum Age Requirements
To purchase a Pick Package or register for an account, you must be at least twenty-one (21) years of age or the legal age required to engage in sports handicapping information consumption within your jurisdiction, whichever is older. By checking the consent boxes, processing a payment, or accessing the Services, you warrant and represent that you meet this age threshold.

2.2 Jurisdictional Legality
The legality of sports betting and the distribution of information related to sports betting varies significantly by country, state, province, and local municipality.

It is your sole responsibility to determine the legality of utilizing sports handicapping information and engaging in sports wagering within your local jurisdiction before purchasing any Pick Package.
You agree not to access, purchase, or apply our Services if doing so violates any local statutory laws, gaming regulations, or jurisdictional restrictions applicable to you.
The Company makes no representations or warranties regarding the legal status of sports wagering or sports data consumption in your specific location.

SECTION 3 - RESPONSIBLE GAMBLING ACKNOWLEDGMENT

SECTION 4 - SUBSCRIPTION PACKAGES, FEES, AND ACCOUNT SECURITY

4.1 Subscription Tiers and Billing Cycles
The Company offers a premium high-value digital tier: The 3-Pick Sharp Edge Package.

Pricing: By selecting this Package, you agree to pay a flat, one-time fee of $159.00 USD, plus any applicable taxes and third-party transactional processing fees associated with checkout.
Access Period: Your access is strictly limited to the specific three (3) individual premium sports selections allocated to this package at the time of purchase. Once all three (3) designated picks have been released and made available on your dashboard, delivered via text, or sent via email, the Service for this billing cycle is considered completely fulfilled and concluded.

4.2 Payment Verification & Account Accuracy
You represent and warrant that the credit card, digital wallet, or external payment processor information you provide is true, accurate, and completely authorized for your use. You agree to maintain current and complete account details, including your email address and payment expirations, to facilitate uninterrupted Service delivery. If a charge is declined or reversed by your bank, the Company reserves the absolute right to suspend or terminate your subscription access immediately without liability.

4.3 Account Credential Confidentiality
Your subscription credentials, login data, dashboard access links, and SMS/Email delivery feeds are strictly personal and non-transferable. You are fully responsible for maintaining the privacy and security of your account passwords. Any access to the subscription area using your credentials will be deemed executed by you. You agree to notify the Company immediately at support@sharpedgesports.com if you suspect unauthorized access or a security breach of your account.

SECTION 5 - ABSOLUTE CANCELLATION, NO-REFUND, AND NO-GUARANTEE POLICIES

5.1 Strict No-Refund Policy
Because the information, analytical forecasts, and proprietary sports picks provided in the 3-Pick Package are delivered digitally in real time and are consumed instantly upon publication, all sales are final. The Company enforces a strict no-refund policy. Under no circumstances will the Company offer cash refunds, partial refunds, prorated credits, or charge reversals for unviewed picks, user dissatisfaction with pick performance, or personal changes of mind.

5.2 Absolute Disclaimer of "Guaranteed Wins" or Touts
The Company completely rejects "lock," "guaranteed win," or deceptive sports touting gimmicks. We offer no guarantees of performance, profitability, accuracy, or results. We do not represent or guarantee that the 3-Pick Package will achieve a specific win percentage, yield positive financial returns, or beat market sportsbook line movements. Any historical data, win-loss tracking logs, or sample performance metrics displayed on our public platforms are reflective of historical records and carry no promise of future duplicable results.

5.3 Game Postponements and Force Majeure
In the event that an event or game tied to one of your designated picks is canceled, postponed, or altered due to force majeure events (e.g., player injuries, strikes, public health emergencies, extreme weather), the Company will replace the affected selection with an alternative premium pick of equal analytical value at its sole discretion, but remains under no obligation to issue monetary refunds.

SECTION 6 - INTELLECTUAL PROPERTY & ANTI-REDISTRIBUTION CLAUSE

6.1 Proprietary Data Protection
All content included in the Pick Packages, proprietary data matrices, convergence analysis sheets, mathematical algorithms, software applications, text, graphics, logos, layouts, and data points are the exclusive intellectual property of Sharp Edge Sports LLC and are protected by United States and international copyright, trademark, and trade secret laws.

6.2 Strict No-Redistribution Prohibition
When you purchase a Pick Package, the Company grants you a limited, non-exclusive, non-transferable, revocable license to view the information strictly for your personal, non-commercial entertainment use.

Prohibited Actions: You are explicitly prohibited from copying, reproducing, retransmitting, selling, publishing, broadcasting, or distributing our sports picks, data feeds, analysis, or text to any third party, group chats (including but not limited to Discord, Telegram, or WhatsApp), social media platforms (such as X, TikTok, or Instagram), or external web forums.
Liquidated Damages: Any unauthorized sharing, leaking, or industrial resale of the Company's proprietary information constitutes a severe breach of this Agreement. The Company reserves the right to pursue full legal action, permanently terminate the offending account without notice or refund, and seek statutory damages or liquidated damages equal to the full market value of the data disseminated plus legal fees incurred.

SECTION 7 - LIMITATION OF LIABILITY AND INDEMNIFICATION

7.1 Absolute Disclaimer of Warranties
THE SERVICES, PICK PACKAGES, AND DATA STREAM ARE PROVIDED COMPLETELY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, SHARP EDGE SPORTS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OPERATIONAL ACCURACY, COMPLETENESS OF LEAGUE DATA, OR FREEDOM FROM TYPOGRAPHICAL OR HUMAN ERRORS.

7.2 Limitation of Damages
IN NO EVENT SHALL SHARP EDGE SPORTS LLC, ITS MANAGING MEMBERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR HANDICAPPING AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES WHATSOEVER. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GAMBLING STAKES, LOSS OF SAVINGS, LOSS OF DIGITAL CAPITAL, PERSONAL PROPERTY DAMAGE, MENTAL DISTRESS, LOSS OF PROFITS, DATA CORRUPTION, OR INTANGIBLE LOSSES RESULTING DIRECTLY OR INDIRECTLY FROM THE USE OF OR INABILITY TO ACCESSIBLY UTILIZE OUR PACKAGES, INFORMATION, OR WEBSITE SERVICES.

7.3 Maximum Financial Cap
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, THE MAXIMUM AGGREGATE LIABILITY OF SHARP EDGE SPORTS LLC TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF LEGAL ACTION, WILL AT ALL TIMES BE STRICTLY LIMITED TO THE ACTUAL AMOUNT OF FEES PAID BY YOU TO THE COMPANY ($159.00 USD) FOR THE SPECIFIC SUB-SECTION OF PICK PACKAGES RESPONSIBLE FOR THE ALLEGED CLAIM.

7.4 User Indemnification
You agree to indemnify, defend, and hold completely harmless Sharp Edge Sports LLC, its corporate parent entities, subsidiaries, affiliates, partners, officers, directors, agents, and employees from any third-party claim, lawsuit, demand, liability, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your breach of any section of this Subscription Agreement;
Your violation of any local, state, federal, or international sports gambling laws or gaming regulations;
Any sports wagers, bets, or financial deployments executed by you across external sportsbooks using information derived from our platform; or
Your unauthorized distribution or infringement of our intellectual property.

SECTION 8 - THIRD-PARTY LINKS, ADS, AND SPORTSBOOK REFERRALS

8.1 External Context and Links
Our digital platform, dashboard area, or newsletter correspondence may feature promotional content, hyperlinks, banner advertisements, or affiliate referral links directing you to external third-party websites, sports betting software systems, or licensed commercial sportsbooks.

8.2 Affiliate Marketing and Disclaimer
The Company does not control, supervise, own, or validate the content, data streams, privacy settings, payout methods, or operational security of any external third-party platform. We are not responsible or liable for any interaction, transaction, deposit loss, or service dispute occurring between you and any third-party website or application. Your interaction with external links is strictly subject to the terms and privacy conditions of those individual destination platforms.

SECTION 9 - GOVERNING LAW, DISPUTE RESOLUTION, AND MANDATORY ARBITRATION

9.1 Governing Law Jurisdiction
This Agreement, along with all claims, operational interactions, or contractual disputes arising out of your purchase of a Pick Package from Sharp Edge Sports LLC, shall be governed by, interpreted, and enforced in accordance with the internal laws of the State of Nevada, without regard to its conflict of law principles.

9.2 Informal Dispute Resolution
Prior to initiating any formal legal or arbitration proceedings, you and the Company agree to attempt to resolve any dispute, claim, or controversy informally.

You must first submit a comprehensive written explanation of your dispute to support@sharpedgesports.com.
The Company will review and engage in good-faith communication to settle the matter within thirty (30) business days from the receipt of your notice.

9.3 Mandatory Binding Arbitration
IF AN INFORMAL SETTLEMENT CANNOT BE AGREED UPON WITHIN THIRTY (30) DAYS, YOU AND THE COMPANY AGREE THAT ANY LEGAL DISPUTE OR CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT, YOUR SUBSCRIPTION, OR THE SERVICES MUST BE INDIVIDUALLY RESOLVED THROUGH BINDING, CONFIDENTIAL ARBITRATION.

The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.
The arbitration proceedings shall take place in Clark County, Nevada, or a mutually agreed online video arbitration format.
The arbitrator's ruling shall be legally binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own legal fees and expenses unless the arbitrator dictates otherwise based on statutory parameters.

9.4 Class Action Waiver
YOU AND THE COMPANY EXPLICITLY AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY, AND NOT IN A CLASS, CONSOLIDATED, REPRESENTATIVE, OR AGGREGATE ACTION. YOU HEREBY WAIVE ANY LEGAL RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR PRIVATE ATTORNEY GENERAL ACTION AGAINST SHARP EDGE SPORTS LLC.

SECTION 10 - SEVERABILITY, MODIFICATIONS, AND ENTIRE AGREEMENT

10.1 Severability Clause
If any specific provision, sentence, or section of this Subscription Agreement is deemed by a court of competent jurisdiction or arbitrator to be invalid, unlawful, or unenforceable, that specific clause shall be severed from the document. The remaining portions of this Agreement shall remain in full force and effect.

10.2 Document Modifications
The Company reserves the right, at its sole discretion, to modify, update, or revise any section of these Terms of Service at any time. Any changes will become effective immediately upon posting to our main web domain or user dashboard area. Your continued access to the Pick Packages or use of data analytics following the posting of modifications constitutes your formal acceptance of the updated terms.

10.3 Entirety of Agreement
This Subscription Pick Package Agreement, along with our Privacy Policy and any digital checkout agreements completed during your subscription transaction, constitutes the entire and exclusive legal agreement between you and Sharp Edge Sports LLC regarding your use of our information services. It supersedes all prior written or oral communications, promotional claims, marketing advertisements, or previous agreements.

BY CONCLUDING YOUR PAYMENT ORDER AND TICKING THE CONSENT BOX, YOU EXPLICITLY ACKNOWLEDGE THAT YOU ARE AT LEAST 21 YEARS OLD, ARE LEGALLY COMPLIANT IN YOUR CURRENT GEOGRAPHIC AREA, FULLY UNDERSTAND THE SUBSTANTIAL FINANCIAL RISK ASSOCIATED WITH SPORTS BETTING, AND ARE COMPLETELY BOUND TO THE TERMS OUTLINED IN THIS SUBSCRIPTION AGREEMENT.
